LUNRA M&A

Every sell-side mandate,
from buyer list to LOI.

The workspace a sell-side advisor runs a sale in. Build the buyer list the seller signs off, run the process on one board, read the draft CIM the way a buyer will, and set the seller’s hopes against your own comps. The graph that finds investors for a raise finds buyers for a sale.

EARLY ACCESS
A fictional sell-side mandate in Lunra: the eight-stage process, the buyer counts and the buyers ranked by fit.
FICTIONAL DATAA fictional mandate, Project Alder, at the IOI stage. Every name and figure on this page is invented.
THE BUYER LIST

A list the seller signs off, with the reason for every name.

Sponsors active on the graph, the buyers in your own library and anyone you add by hand, each scored against the mandate on what they have said they buy, their size, how recently they were active and whether you can reach them.

Every buyer shows where it came from. Nothing goes to a buyer until the seller has approved them, and a buyer the seller excludes keeps the reason.

Fit compares what a buyer has said it buys with this mandate. It is not a prediction that a buyer will bid, or a recommendation of any buyer.

THE PROCESS BOARD

Every buyer, by stage, with the gate that lets it move.

Teaser, NDA, CIM, IOI, management meeting, LOI, close. The CIM cannot go out before the NDA is countersigned, the board records the date of every gate, and a pass writes its reason to the buyer’s record so your next mandate sees it.

Teasers and CIMs go from your own mailbox; the board records that they went. IOIs and LOIs show exactly as you entered them, and nothing is computed from them.

THE CIM READ

The draft CIM, read before a buyer reads it.

Lunra reads each version of the CIM once and pulls every figure with the page it came from. You confirm each one and lock the profile; nothing is used until you do.

Then the checks run in code: statements that do not tie, growth rates the CIM states that its own figures do not give, figures a buyer expects that the CIM does not print, and the ratios a buyer’s first model will run. The readiness read, what a buyer will flag and the fix for each, is being calibrated and is not yet switched on.

Analysis for the advisor from the documents and data you supplied. Not a valuation, an appraisal, a fairness opinion or a recommendation to buy or sell any business or security.

THE REALITY CHECK

The seller’s hopes, against your own comps.

Import a comps export from your own data subscription. Lunra applies the middle half of its multiples to the earnings you marked accepted and shows that range beside what the seller hopes for, with what would change it.

The multiples are yours. Lunra supplies no transaction data and no multiple of its own.

CONFIDENTIAL BY DESIGN

That a company is for sale
stays yours.

A sell-side mandate is confidential before it is anything else. Lunra is built that way.

Your workspace only

Mandates, buyers, CIMs and comps sit in your workspace, isolated by the database and tested on every change.

Delete when the NDA ends

Export a CIM or a whole mandate, then delete it: the file and everything read from it go, and Lunra keeps a receipt that names nothing.

Read once, by one vendor

Each CIM version is read once by one AI vendor whose terms exclude training, and goes nowhere else.

WHAT LUNRA IS NOT

Software for the advisor,
never a party to the deal.

The analysis is yours to use and yours to judge. Every screen that shows it says so.

NOT A VALUATION

Analysis from the documents and data you supply. Lunra supplies no multiple and no transaction data, and nothing in it is an appraisal or a fairness opinion.

NOT A BROKER

Lunra arranges no transaction and takes no part in negotiation. Nothing it charges depends on whether, when or at what price a deal closes.

FIT IS NOT A BID

Fit compares what a buyer has said it buys with your mandate. It is not a prediction that a buyer will bid.

QUESTIONS

What advisors ask first.

What is Lunra M&A?

The workspace a sell-side advisor runs a sale in: a buyer list the seller approves, a process board with its gates, a CIM read where you confirm every figure, and a reality check on your own comps. It is in early access.

Does Lunra value companies?

No. The reality check applies your own comps to the earnings you marked accepted and shows the range. Lunra supplies no multiple and no transaction data, and nothing in it is a valuation, an appraisal or a fairness opinion.

Does Lunra contact buyers or take part in the deal?

No. Teasers and CIMs go from your own mailbox, and the board records that they went. Lunra arranges no transaction, takes no part in negotiation, and nothing it charges depends on whether, when or at what price a deal closes.

What happens to a CIM I upload?

It is stored in your workspace’s own folder and read once per version. Delete the CIM or the whole mandate and the file goes with everything read from it; Lunra keeps a receipt with ids and counts, never a name or a figure.
